GENERAL TERMS OF SALE

1. SCOPE, ACCEPTANCE AND CONCLUSION OF THE CONTRACT
--------------------------------------------------
1.1 These general terms of sale (the "Terms") govern the offer and distance sale of products through the Site by Minoronzoni to persons acting for purposes outside any business, commercial, craft or professional activity they may carry on (the "Customer" or the "Consumer"), pursuant to Articles 45 et seq. of Italian Legislative Decree 206/2005 (Consumer Code) and Legislative Decree 70/2003.
1.2 By placing an order through the form on the Site (the "Order"), the Customer declares that they have read all the information provided during the purchase process and that they fully accept these Terms, in the version published on the Site when the Order is sent.
1.3 The contract is concluded when Minoronzoni sends the Customer confirmation that the Order has been accepted, to the e-mail address provided by the Customer. If the Order is not accepted, in whole or in part, Minoronzoni will inform the Customer promptly and will refund without delay any amount already charged.
1.4 These Terms can be printed or saved on a durable medium, in accordance with Article 12 of Legislative Decree 70/2003 and Article 51 of Legislative Decree 206/2005.
1.5 Minoronzoni reserves the right to amend these Terms at any time. Amended Terms apply to every Order sent after their publication on the Site; Orders already accepted remain subject to the version in force when the Order was sent.
2. HOW TO PURCHASE

2.1 The only products offered for sale are those on the Site when the Order is sent, as described in the relevant product pages. Availability is subject to verification: if a product subsequently becomes unavailable, Minoronzoni will inform the Customer without delay and refund in full any amount already paid.
2.2 The images accompanying the product description are for illustration purposes and may not perfectly represent the characteristics of the product; they may differ, for example, in colour and size, also depending on the browser and screen used.
2.3 To place an Order the Customer must complete every part of the form on the Site and send it after reading the Terms and the characteristics of the products they intend to buy. A Customer who requires an invoice must request it when placing the Order, entering the necessary details, pursuant to Article 22 of Presidential Decree 633/1972.
2.4 Minoronzoni confirms receipt of the Order by e-mail to the address provided by the Customer. The message summarises the purchase conditions and the data entered in the Order, so that the Customer can check them and report any corrections without delay.
2.5 Minoronzoni reserves the right not to process Orders which, by quantity or manner, appear to be intended for resale or in any case not attributable to the Consumer's personal use.
3. PRICES AND PAYMENT METHODS

3.1 Prices on the Site are in euro and include VAT and any other applicable tax. Any shipping and payment handling costs are shown to the Customer before the Order is sent and summarised on the cart summary page.
3.2 Where a price is reduced, the reference price shown is the lowest price applied by Minoronzoni on the Site in the 30 days before the reduction, pursuant to Article 17-bis of Legislative Decree 206/2005.
3.3 Minoronzoni reserves the right not to accept, to cancel or to refund the Order if, owing to clerical errors, technical malfunctions or other problems, the price displayed on the Site is manifestly and significantly lower than the correct selling price. In that case Minoronzoni will contact the Customer to ask whether they still wish to buy the product at the correct price; otherwise the Order will be cancelled and any amount already charged will be refunded in full.
3.4 The following payment methods are available:
(i) Credit, debit and prepaid cards
The transaction is handled through the secure payment service Shopify Payments, in a protected, PCI-DSS certified environment. At no stage of the payment does Minoronzoni obtain the full card details of the Customer, which are transmitted over an encrypted connection directly to the payment service provider. No Minoronzoni computer system stores such data.
(ii) PayPal
The Customer may use their PayPal account in accordance with the terms and conditions of that service. The charge is made when the online transaction is completed.
3.5 The Order amount is charged when Minoronzoni accepts the Order, or in accordance with the rules of the chosen payment method.
3.6 If the payment is not authorised or fails, the Order is deemed not accepted and the contract not concluded.
4. DELIVERY AND DELIVERY COSTS

4.1 Products are delivered to the address given by the Customer in the Order, at the cost specifically shown on the Site before the Order is sent.
4.2 Deliveries are made only in Italy and in the Member States of the European Union. Minoronzoni does not accept Orders with a delivery address outside this territory; the up-to-date list of countries served is available at checkout. For deliveries outside Italy, shipping costs and delivery times may vary and are shown before the Order is concluded. As these are deliveries within the European Union, no import duties or customs charges are payable.
4.3 Indicative delivery times are 1-3 working days from acceptance of the Order for Italy and 3-5 working days for the other EU Member States. In any case, pursuant to Article 61 of Legislative Decree 206/2005, delivery will take place no later than 30 days from the conclusion of the contract. If Minoronzoni fails to deliver within that period, the Customer may ask it to deliver within an additional period appropriate to the circumstances and, if that period also expires without delivery, terminate the contract and obtain a full refund without delay.
4.4 The risk of loss of or damage to the products, for reasons not attributable to the Seller, passes to the Customer when the Customer, or a third party indicated by the Customer other than the carrier, acquires physical possession of the goods, pursuant to Article 63 of Legislative Decree 206/2005.
4.5 On delivery the Customer is asked to check:
• that the number of parcels matches the transport document;
• that the packaging is intact, not damaged, wet or otherwise altered, including the sealing materials.
Any damage to the packaging or the product, or any discrepancy in the number of parcels, should be reported immediately to the carrier by writing a specific reservation on the delivery document, and notified to customer service as soon as possible. Failure to write the reservation or to report promptly does not in any way affect the rights granted to the Consumer by Articles 5, 6 and 7 of these Terms and by law.
5. RIGHT OF WITHDRAWAL

5.1 Pursuant to Articles 52 et seq. of Legislative Decree 206/2005, the Customer has the right to withdraw from the contract, without giving any reason and without any penalty, within 14 (fourteen) days from the day on which the Customer, or a third party indicated by the Customer other than the carrier, acquires physical possession of the goods. For multiple goods ordered in a single Order and delivered separately, the period runs from the day on which possession of the last item is acquired.
5.2 To exercise the right of withdrawal, the Customer must inform Minoronzoni of their decision before the period expires, by an unequivocal statement sent to 1953@minoronzoni.it, or by using the model withdrawal form set out in Annex I, Part B, of Legislative Decree 206/2005, available on the Site at https://minoronzoni1953.it/en/policies/refund-policy. Registered users can manage the request from the "Returns" area of their account. Minoronzoni will send the Customer, without delay, an acknowledgement of receipt of the withdrawal on a durable medium.
5.3 Within 14 (fourteen) days of the withdrawal notice, the Customer must return the products to the following address:

The direct cost of returning the goods is borne by the Customer, unless Minoronzoni states otherwise on the Site or has offered to bear it. As these are shipments within the European Union, the return involves no customs charges.
5.4 Products must be returned complete with all their parts and, where possible, in their original packaging, with tags and labels. The Customer is liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods, pursuant to Article 57(1) of Legislative Decree 206/2005. In that case Minoronzoni may withhold from the refund an amount proportionate to the diminished value established, giving the Customer a reasoned explanation.
5.5 Minoronzoni will reimburse the Customer all payments received, including the cost of standard delivery, without undue delay and in any event within 14 (fourteen) days from the day on which it is informed of the decision to withdraw. If the Customer expressly chose a type of delivery other than the least expensive standard delivery offered on the Site, Minoronzoni is not required to reimburse the additional costs (Article 56(2) of Legislative Decree 206/2005). The reimbursement is made using the same means of payment used for the initial transaction, unless expressly agreed otherwise, and at no cost to the Customer. Minoronzoni may withhold the reimbursement until it has received the goods back or until the Customer has supplied evidence of having sent them back, whichever is earlier.
5.6 The right of withdrawal does not apply in the cases provided for by Article 59 of Legislative Decree 206/2005, including in particular the supply of goods made to the consumer's specifications or clearly personalised, and the supply of sealed goods which are not suitable for return for health protection or hygiene reasons, if unsealed after delivery.
6. LEGAL GUARANTEE OF CONFORMITY

6.1 All products sold on the Site are covered by the legal guarantee of conformity provided for by Articles 128 et seq. of Legislative Decree 206/2005, as amended by Legislative Decree 170/2021. Minoronzoni is liable for any lack of conformity which exists at the time of delivery and which becomes apparent within 24 (twenty-four) months of that date. Unless proven otherwise, any lack of conformity which becomes apparent within one year of delivery is presumed to have existed at the time of delivery.
6.2 The Customer is not required to notify the defect within any time limit on pain of forfeiture. Legal action to enforce rights in respect of the defect is time-barred 26 (twenty-six) months after delivery of the goods.
6.3 In the event of a lack of conformity, the Customer is entitled, free of charge, to have the goods brought into conformity by repair or replacement or, where the conditions of Article 135-bis of Legislative Decree 206/2005 are met, to a proportionate price reduction or to terminate the contract.
6.4 To make use of the guarantee, the Customer is asked to keep the invoice or payment receipt and to contact customer service at the details given at the beginning of these Terms. Where applying the guarantee requires the product to be returned, the related shipping costs are borne by Minoronzoni.
6.5 The guarantee does not cover defects resulting from use not in accordance with the intended purpose of the goods or with the instructions for use, care and cleaning supplied with the product, nor normal wear and tear.
6.6 These provisions are without prejudice to any commercial guarantee offered by the manufacturer, where applicable.
7. COMPLAINTS, PRODUCT SAFETY AND DISPUTE RESOLUTION

7.2 The products sold on the Site are safe within the meaning of Article 5 of Regulation (EU) 2023/988 (GPSR). Reports concerning product safety can be made using these details or the form in the "Contact" section of the Site, stating that the message concerns product safety.
7.3 The Customer may apply to the alternative dispute resolution (ADR) bodies listed in the registers kept by the competent authorities pursuant to Articles 141-bis et seq. of Legislative Decree 206/2005, and to the centres of the ECC-Net network for cross-border disputes. Please note that the European ODR platform established by Regulation (EU) 524/2013 was discontinued with effect from 20 July 2025 pursuant to Regulation (EU) 2024/3228 and is no longer available. Use of these procedures is optional and does not affect the Customer's right to bring proceedings before the courts.
8. PROCESSING OF PERSONAL DATA

8.1 Personal data collected when the Order is sent are processed by Minoronzoni S.r.l., as data controller, to conclude and perform the contract and to comply with the related legal obligations, in accordance with Regulation (EU) 2016/679 and Legislative Decree 196/2003. Further processing, such as sending promotional communications, is carried out only with the Customer's express consent. 9. APPLICABLE LAW AND JURISDICTION
----------------------------------
9.1 The sales contract governed by these Terms and its performance are subject to Italian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. This is without prejudice to the application, for a Consumer habitually resident in another Member State of the European Union, of the more favourable mandatory provisions of the law of their country of habitual residence.
9.2 For any dispute concerning the application, performance and interpretation of these Terms, the court of the place of residence or elected domicile of the Consumer has exclusive jurisdiction, pursuant to Article 66-bis of Legislative Decree 206/2005.
10. INTELLECTUAL PROPERTY

10.1 The MR53 trade mark and the other trade marks, logos and distinctive signs on the Site are the exclusive property of Minoronzoni S.r.l. and are protected by national and European Union trade mark law. Any use of trade marks, logos and other distinctive signs, including reproduction on other websites or on any other medium, by unauthorised third parties is prohibited. Minoronzoni reserves the right to take action in any forum to protect its rights.
10.2 The contents of the Site — texts, images, videos and graphics — are protected by copyright and may not be reproduced, distributed or communicated to the public without the prior written consent of Minoronzoni.
11. ENTIRE AGREEMENT AND SEVERABILITY

11.1 These Terms, together with the Order, the terms of use of the Site and the privacy notice, constitute the entire agreement between the parties in relation to its subject matter.
11.2 The invalidity or ineffectiveness of any single clause does not affect the validity of the remaining provisions.
11.3 No provision of these Terms may be interpreted as limiting the mandatory rights granted to the Consumer by the Consumer Code and applicable law.
12. COMMUNICATIONS

12.1 Communications between the parties are validly made in writing to the addresses given in these Terms and in the Order, including e-mail addresses.
13. LANGUAGE
------------
13.1 These Terms are drawn up in Italian and English. In the event of any discrepancy in translation, the Italian version prevails.
