Internal reporting channel

Minoronzoni S.r.l. / Tosca Blu has adopted a dedicated IT system (the My Whistleblowing add-on to the My Governance software) for handling reports concerning:

acts or omissions which constitute or may constitute a breach, or incitement to commit a breach, of the provisions referred to in Italian Legislative Decree 24/2023 (Whistleblowing Decree), as well as of the values and principles set out in the Code of Conduct of Minoronzoni S.r.l. The reporting person will be informed that the Report has been received.

The platform, managed by a third-party provider, guarantees the confidentiality of the personal data and identity of the reporting person and of the content of Reports, subject to any legal obligations.

All members of the Company are prohibited from taking retaliatory or discriminatory action against the reporting person for reasons directly or indirectly connected with the report made. The Company will take disciplinary sanctions and/or other measures against anyone who makes Reports in bad faith or with gross negligence with the aim of damaging the reputation of persons unjustly reported.

External reporting channel

ANAC (the Italian National Anti-Corruption Authority) has set up an external reporting channel, which the reporting person may use where the conditions set out in Article 6 of Legislative Decree 24/2023 are met; reference is made to that article.

In addition, a reporting person who believes they have suffered retaliation as a result of a report may notify ANAC in accordance with Article 19 of Legislative Decree 24/2023, so that ANAC can carry out the checks provided for by law and, where appropriate, impose a penalty on the person responsible for the retaliatory measure.

Access to the reporting channel is available on ANAC's institutional website.
